Terms of Service.

Notice: This document sets forth the commercial and operational terms governing Nextora Mini POS. Customers and commercial partners are advised that final legal language should be reviewed by legal counsel prior to formal enterprise contracting.

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether an individual or business entity, "Merchant", "Customer", or "you") and Nextora Creations ("Nextora", "we", "us", or "our"), governing your access to and use of Nextora Mini POS software (Windows Desktop and Android editions) and the website at https://pos.nextoracreations.co.in.

1. Grant of Software License

Nextora Mini POS is licensed, not sold. Subject to compliance with these Terms and payment of the applicable subscription fee, Nextora grants you a non-exclusive, non-transferable, revocable license to install and execute the software solely for your internal business billing operations on the designated number of activated devices.

2. Annual Subscription & License Model

  • Per-Device Licensing: Each license key authorizes execution on a single physical device (Windows PC or Android mobile device). A Desktop + Android bundle authorizes one device of each type.
  • Subscription Period: Licenses are provided on an annual subscription basis valid for twelve (12) calendar months from the date of activation.
  • Offline Validity: Once validated online during activation, daily billing operations operate offline throughout the subscription period.
  • No Lifetime Claims: Nextora Mini POS operates exclusively under recurring commercial license terms. We do not offer or advertise lifetime or perpetual activation models.

3. Renewal, Expiration & Continuity

  • Advance Reminders: The software presents periodic renewal alerts prior to license expiration.
  • Post-Expiry Operation: Upon license expiration, billing workflows will be suspended until an annual renewal key is entered. Your locally stored items, customer bills, and database records remain safe on your device.
  • Renewal Procedure: Merchants may renew by contacting Nextora. Entering the renewed license key restores billing functionality without data loss.

4. Customer Responsibilities & Acceptable Use

As a merchant using Nextora Mini POS, you agree:

  • To provide accurate business information when activating licenses and complying with local tax and billing laws.
  • Not to modify, decompile, reverse-engineer, disassemble, or circumvent software license verification routines.
  • Not to distribute, sublicense, rent, resell, lease, or make the software available to unauthorized third parties.
  • To maintain physical device security, PIN codes, and system access controls on hardware running the application.

5. Local Data Storage & Backup Responsibility

Because Nextora Mini POS operates offline-first, all operational records (bills, inventory catalog, customer details, and cash register histories) reside strictly on your local hardware. You are solely responsible for creating and safeguarding regular database backups using the built-in Backup & Restore tools. Nextora has no access to your local data and cannot recover lost databases resulting from device failure, theft, formatting, or operating system malfunction without a user-created backup file.

6. Third-Party Hardware & Thermal Printer Compatibility

  • Nextora Mini POS supports receipt printing on thermal printers conforming to standard ESC/POS protocols via USB/serial on Windows and Bluetooth/Wi-Fi on Android.
  • Because hardware specifications, firmware versions, and command implementations differ among printer manufacturers, Nextora does not warrant compatibility with every third-party printer model.
  • Merchants are strongly advised to test their specific hardware with a trial license before deploying to live counters.

7. Software Updates

Active annual subscriptions include access to minor updates, enhancements, and bug fixes released during the license term. Updates may be downloaded via the in-app update check or the official product website. We recommend creating a fresh local backup prior to applying major software updates.

8. Intellectual Property Rights

Nextora Creations retains all right, title, and interest (including all copyright, trademark, trade secret, and other intellectual property rights) in and to Nextora Mini POS, the Nextora branding, logo, software code, and website content. Nothing in these Terms transfers any proprietary ownership rights to you.

9. Warranty Limitations & Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXTORA MINI POS AND ASSOCIATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEXTORA DOES NOT WARRANT THAT SOFTWARE OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEXTORA CREATIONS, ITS FOUNDERS, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE NEXTORA MINI POS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CIRCUMSTANCES, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE ACTUAL LICENSE FEE PAID BY YOU FOR THE CURRENT SUBSCRIPTION YEAR.

11. Termination

We reserve the right to revoke or terminate your license key immediately upon written notice if you materially breach these Terms (such as unauthorized key sharing or software decompilation). Upon termination, you must cease all use of the software.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Andhra Pradesh / Telangana, India.

13. Modifications to Terms

Nextora reserves the right to revise these Terms at any time. When modifications are made, the revised version will be published at https://pos.nextoracreations.co.in/terms with an updated effective date. Continued use of the software after updates signifies acceptance of the revised Terms.
